The option that you are maybe missing is --noauthmd5.

I'm currently also migrating to Exchange 2007 & 2010 and I'm using following options successfully:

imapsync \
    --ssl1 --host1 $host1 --user1 $username1 --password1  PWCHANGED \
    --ssl2 --host2 $host2 --user2 $username2 --password2  PWCHANGED \
    --delete2 --expunge2 --delete2folders \
    --noauthmd5 \
    --subscribe \
    --useheader 'Message-ID' \
    --skipsize \
    --exclude 'Trash|Deleted Messages'
